Types of Contracts

- Agreements for Sale of Goods
- An Agreement for Sale of Goods is an agreement between two or more parties agreeing on the sale of goods, including the quantities of goods, price per unit, total price, and payment terms.
- Agreements for Services
- An Agreement for Services is an agreement between two or more parties agreeing to the performance of a task or service. Similar to an Agreement for Sale of Goods, an Agreement for Services specifies the service to be performed and sets an agreeable standard of completion for these services.
- Athletic Contest Agreements (Guarantee-Game Contracts)
- An Athletic Contest Agreement or Guarantee-Game Contract is made between the university and another institution (whether they are hosting or visiting the campus for an athletic event or game), and establishes player eligibility, financial considerations, and other appropriate and applicable rules and regulations governed by the National Collegiate Athletics Association (NCAA) and the host institution’s conference.
- Electronic & Information Technology (E&IT) Agreements for Goods and Services
- Similar to Agreements for Sale of Goods and Services, but must also comply with applicable Section 508 (accessibility requirements) and data security standards.
- Intra-Agency Agreements
- An Intra-Agency Agreement is between two or more university divisions for the purpose of providing reimbursed services or an exchange of services. The use of an MOU or other appropriate form may be considered.
- Interagency Agreements
- An Interagency Agreement is a negotiated contract between government agencies for the purpose of conveying one agency’s services to the other agency for a price, for exchanged services, or for some other consideration.

International Agreements
- An International Agreement involves an agreement with a partner, where the University makes a commitment of resources to engage in activities with international students, universities or other persons or entities doing business outside of the United States. They include: degree programs offered abroad; articulation agreements; agreements with agents or partnerships to recruit international students; student, staff and faculty exchange; and study abroad. They do not include agreements that are solely expressions of shared values that do not commit financial or other campus resources.
- Material Transfer Agreements (MTA)
- A Material Transfer Agreement is a legal agreement that governs the transfer of tangible research materials between two organizations. MTAs cover non-commercial research, evaluation, and testing related to the materials.
- Memorandums of Understanding (MOU)
- A Memorandum of Understanding is a standard agreement that often times has a simple arrangement, describing the broad outlines of an agreement that was reached through negotiations between the involved parties.
- Multi-Year Contracts

A Multi-Year contract is a negotiated agreement for a designated multi-year term, which typically does not exceed 3-5 years. This can be especially helpful for IT software that requires Technology Requisition Impact Assessment (TRIA) review.

- Non-Disclosure Agreements (NDA)
- A Non-Disclosure Agreement is a legal agreement between at least two parties that outlines confidential material, knowledge, or information that the parties wish to share with one another for certain purposes, but wish to restrict access to or by third parties.
- University Affiliation Agreements (or Internship Affiliation Agreements or Student
Placement Agreements)
- University Affiliation Agreements are utilized for academic programs that require an internship as part of the course requirement, and are used to secure a student’s access to the site and ensure that the site’s personnel will supervise the student and provide a meaningful experience. The agreement also defines the relationship between the university, the site, and the student.
Who can sign a contract?
Per the CSU Contracts and Procurement Policy, SJSU employees and managers DO NOT have the authority to sign a university contract. This authority is delegated by the President and is limited to the Contract Services team, the P2P Team, and designated personnel in Administration and Finance.
